Who can use Etlworks
You can use Etlworks if you're at least 18 years old, can enter into a binding contract under applicable law, and provide accurate information when signing up. If you're signing up on behalf of a company or other organization, you confirm you have authority to bind that organization to these terms.
"You" in these terms means you personally if you signed up as an individual, or the organization you represent if you signed up on its behalf. "We," "us," and "Etlworks" mean Etlworks LLC.
Your account
You're responsible for keeping your credentials secure and for activity that happens under your account. Tell us at support@etlworks.com if you think your account has been accessed without your permission.
For security reasons, we can't see your password — we can only reset it. We're not responsible for losses caused by stolen credentials or shared accounts. Don't share your password with anyone, including Etlworks staff.
Free trial
The free trial lasts 14 days from signup. You can cancel during the trial without being charged. Trials are for evaluation only — they're not for production workloads, and existing paying customers don't get a fresh trial.
We may extend a trial if you ask and haven't violated these terms.
Plans and billing
Current subscription rates are at etlworks.com/pricing. We may change pricing, but we'll notify you by email before any change affects your plan.
By signing up for a paid plan, you authorize us to charge your payment method for the fees on your plan, on the schedule for that plan (monthly or annually).
If a payment fails, we'll retry and notify you. Repeated payment failures may result in account suspension. Suspended accounts that aren't resolved within 30 days may be terminated.
Cancellation
Monthly plans
You can cancel a monthly plan at any time from your account settings. We won't ask why. We won't make it hard.
When you cancel, we'll bill any outstanding invoices — including the most recent invoice for the upcoming billing cycle if it was already issued but not yet paid. Once those are settled, your account closes and you owe nothing further.
Annual and multi-year plans
You can cancel an annual or multi-year plan at any time, but we don't issue refunds for unused months. Your service continues until the end of the period you've paid for, then your account closes.
Exception: if we materially change these terms or your plan's pricing during your contracted term, you can cancel and receive a pro-rated refund for the unused portion.
Termination for cause
Either party can terminate immediately if the other materially breaches these terms and doesn't fix the breach within 30 days of written notice. Either party can terminate immediately if the other becomes insolvent or files for bankruptcy.
What happens on termination
Your access to the service ends. Your data is retained for 30 days, then deleted from production systems. You can request an export of your data at any time before deletion at support@etlworks.com.
Your data
You own your data
You retain all rights to the data you upload, create, or process through Etlworks. We don't claim ownership of your data, and we don't gain rights to it by you using the service.
What we do with your data
We use your data only to provide the service to you. Specifically, we don't:
- Sell your data to anyone, ever.
- Train AI models on your data — including our own AI agent. The agent operates on your data only within your account, only when you ask it to.
- Share your data with third parties except sub-processors strictly necessary to deliver the service (cloud hosting, payment processing). The current sub-processor list is in our Data Processing Addendum.
- Access your data without your permission, except as necessary for support requests you've initiated, or as required by law.
Privacy
Personal information we collect (your name, email, billing details) is handled according to our Privacy Policy. By accepting these terms, you accept the Privacy Policy.
Data Processing Addendum
If you process personal data of EU, UK, or California residents through Etlworks, see our Data Processing Addendum (DPA), or request a counter-signed copy at legal@etlworks.com. The DPA, once executed, becomes part of these terms.
Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code from Etlworks.
- Copy, replicate, or use Etlworks to build a competing product or service.
- Use the service in violation of any law, including export controls (Etlworks is subject to U.S. export laws and may not be used in countries the U.S. has embargoed).
- Use the service to send spam, malware, or content that's illegal, harassing, or violates someone else's rights.
- Exceed the metrics or limits of your plan. Sustained excess usage may result in throttling or account suspension. We'll contact you before throttling — we'd rather upgrade you than throttle you.
- Resell, lease, or sublicense access to Etlworks without our written permission.
- Use the service to mine cryptocurrency, run general-purpose compute workloads unrelated to data integration, or in ways that materially degrade service for other customers.
Service level
Uptime
We provide a 99.9% uptime SLA on all paid plans, measured monthly and excluding scheduled maintenance windows we communicate in advance.
If we miss the SLA, you get service credits as outlined in our Support SLA documentation. Credits are the sole remedy for downtime.
Maintenance, security patches, and external factors (cloud provider outages, internet routing failures, force majeure) may cause temporary interruptions and don't count against the SLA.
Support
Support response times depend on your plan and are documented at our support center. Most issues are resolved within minutes during business hours.
Intellectual property
What we own
Etlworks owns all rights to the platform itself: the software, the website, our trademarks, our documentation, and any improvements we make based on customer feedback (without identifying the customer).
What you own
You own your data, your flows, your transformations, and any custom code you write within Etlworks. We don't take ownership of any of it. If you cancel, you can export it.
Feedback
If you give us feedback or suggestions, we can use them to improve the service without owing you anything. We won't identify you as the source of feedback without your permission.
Liability and indemnification
Limitation of liability
To the maximum extent allowed by law, Etlworks isn't liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost data, or business interruption — arising from your use of the service.
Our total liability to you for any claim related to these terms or the service is limited to the fees you paid us in the 12 months before the claim arose.
"As is"
The service is provided "as is" and "as available" without warranties of any kind, express or implied, except as required by law. We don't warrant that the service will be uninterrupted, error-free, or meet every specific requirement you might have.
Mutual indemnification
You agree to indemnify Etlworks against third-party claims arising from your data, your acceptable-use violations, or your breach of these terms.
We agree to indemnify you against third-party claims that the service itself infringes their intellectual property, provided you notify us promptly and let us control the defense.
Changes to these terms
We may update these terms from time to time. If we make material changes, we'll notify you by email and post the updated terms with a new "Last updated" date.
For existing customers, material changes take effect 30 days after notification. If you don't agree to the changes, you can cancel before they take effect — and if you're on an annual plan, you'll get a pro-rated refund for unused months (see Section 5).
For new customers, the latest terms apply at signup.
Governing law
These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws rules. Any dispute arising from these terms will be brought in the state or federal courts located in Allegheny County, Pennsylvania, and both parties consent to that jurisdiction.
If any part of these terms is held unenforceable, the rest stays in effect.
Entire agreement
These terms — together with our Privacy Policy, our DPA (if signed), and any Software Subscription Agreement we've signed with you — form the complete agreement between us. Where a separately-signed Software Subscription Agreement conflicts with these terms, the signed agreement wins.
